Separation of Legal Personality and Lifting the Corporate Veil

This report covers the separation of legal personality and the lifting of the corporate veil from the cases of Salomon v A Salomon co ltd (1897), Catherine lee v Lee’s Air farming ltd (1960). Salomon v Salomon was the first principle case of its kind and its principle was that a limited company is a separate legal entity, in catherine lee v lee this case was reaffirmed, and Gilford Motors v Horne was the first law case to ‘pierce the corporate veil.WHAT IS THE PRINCIPLE OF separate CORPORATE PERSONALITY?There are 3 types of ownership generally speaking in the law context. There are sole traders, partnerships and companies. Sole traders are the sole owners to a business entity in which there is no legal distinction between the business and the owner. The owner receives all profits and is responsible for its debts as well. A partnership is when 2 or more parties agree to advance their interests. There are 2 types of partnership, which are the general partners and limited p artners. General partners are liable for all debts and obligations whereas the limited partners contribute working capital and are not liable for the debts of the business entity. There are 2 types of companies:Private limited company (LTD) & Public limited company (PLC)Private limited companies is usually owned by fewer people and usually are smaller businesses who do not trade in the stock exchange, their business accounts don’t need to be audited and their statements are also private, whereas public limited companies need to public their financial statements and get audited. The advantage of this type of ownership over others is that there is a limited liability of the owners of business as the business is a separate legal personality. meaning of limited liability?Limited liability is referring to the legal protection to shareholders, whether it be private or public limited companies in which the financial liability of every shareholder of the business entities is limited to the value of their fully paid shares, in short shareholders will not lose more than they put in, into the business. This is because the business itself is a legal entity on its own. Creditors can only sue the company for its assets, any unpaid capital and guaranteed capital. The company must declare its limited liability in its name and must provide financial information for the public inspection. the concept of separate legal personality.The contractual capacity is that a company can enter into any contract under its name and is also liable for such contracts. The separate business entity also has some legal powers, for example to sue on its own behalf and even suing its own members. It is a separate property and does not belong to any of its members. The company will still continue as normal even in the event of death to any of the owners or any transfer of any stock. The shares of the business entity are completely transferable and approvals are not required unless stated or a greed. The first principle case to arise is Salomon v A Salomon,Mr. A Salomon was a sole trader and was doing well as a sole trader. Mr. Salomon’s sons became interested in joining the business, so he incorporated his business to a limited liability company. Mr. Salomon sold his business for  £39,000 of which  £10,000 was debt to him; He kept 20,001 of the 20,007 shares, so he was principle shareholder and principle creditor. The company then went into liquidation and the liquidator then accused Mr. A Salomon of fraud and stated that the debentures used as a  security of the debt is invalid.The judge Vaughn Williams accepted his argument saying that â€Å"Mr. Salomon had created the company solely to transfer his business to it, the company in reality was his agent and he as principle was liable to debts.† The House of Lords ruling was to hold firmly the doctrine of corporate personality as is mentioned in the companies’ act 1862, it is so that creditors o f a failing company cannot take the shareholders to courts over an outstanding debt because the company is a separate legal entity. Another case that reaffirmed Salomon v Salomon is Catherine Lee v Lee Farming co. Geoffrey Lee had a farming company and held 2999 shares of the 3000, he was the sole director and chief pilot and unfortunately died in a plane crash.Mrs. Lee tried to claim for damages of  £2340 under the Workers Compensation Act (1922) for the death of her husband. The Privy Council advised Mrs. Lee that she is entitled to compensation, since it is possible Mr. Lee can have a contract with the company he owned. The company is a separate legal entity.It is generally the rule regarding limited companies that the entity is a separate legal personality. There are exceptions to this rule when the courts will not treat it as a separate legal entity, this is known as ‘lifting the corporate veil’. The courts will ignore the separate personality when there is fraud , or by statute, or whether it’s an enemy during wartime, or if there is an agency involved with complications or when there is a ‘tort’. The case of Gilford Motors v Horne where Mr. Horne was a former managing director at the Gilford motors, his employment contract clause 9 said he cannot solicit customers of the company if he were to leave employment.Mr. Horne was later fired, after that he set up his own business and undercut Gilford Motors prices, later being told he was possibly in breach of contract; he decided to set up a company in which his wife and friend are directors and only shareholders. Mr. Horne later sent out fliers which read â€Å"Spares and service for all models of Gilford vehicles. 170 Hornsey Lane, Highgate, N. 6. Opposite Crouch End Lane†¦ No connection with any other firm†. This company had no contract with Gilford Motors about not competing but Gilford Motors did bring up actions that needed attention from the courts, Which w as that the company was being used as an instrument of  fraud.The Court of appeal did grant the injunction and Lord Hanworth mentioned â€Å"the purpose of it was to enable him, under the cloak or sham, to engage business on consideration of agreement, was one the former employees would object to†. Since the Adams v Cape indsutries case courts have changed their attitude and made the salomon principle a lot stronger. Courts will be more likely to lift the corporate veil when the court is having a look at a statute, or contracts. The court must be satisfied that the company is a faà §ade and which should show abuse of the corporate form. Another way the courts will decide to lift the veil is if it can be proven that the company is an authorized agent of its controllers or members.

It is believed by the psychologists that it is preventative therapy instead of it being post illness therapy. Most of the psychologists that believe in this system believe in the glass being half full. It is optimism and happiness that can lead a person to live a better and a fuller life. I believe that action must be taken before it is too late. The effort of professionals in trying to make the world a happy place and to attempt to make a go at it is commendable. It is a very effective method of trying to bring out the positive energy. In the fast changing world of today, materialism and consumerism rule the roost. It is that only that which is making a lot of people unhappy unnecessarily. It is the competition and the need to strive for more. Positive psychology teaches one to be satisfied with what one has. Once that person is happy, he will emit happiness. Happiness, laughter and smiles are all contagious. One smile goes a long way. Many a times it takes just a smile to light up a person’s day. Small changes in ones lifestyles on a daily basis can go about a long way in maintaining a healthy outlook on life. It is important to appreciate the small things in life. One needs to take time out to stop and stare. To be able to smell the flower. To be able to see the ants in the garden. On a more personal level, being more organized can save a person from unnecessary frustration and anger while looking for something. Knowing where to find what can add to the confidence and that’s a small step towards having a good day. In the long term, it is important to remind to oneself, the need for patience and tolerance. A cool mind can handle any problem more effectively and let it affect one much lesser. At the end of the day, positive psychology is all about the ripple effect one person can have on the community. It is the chain reaction caused by the positive energy radiating from one person to the other. It is all about happiness, and sharing. It is truly about being human.

With the arrival of the Muslims, art was not just artistic, but it was purposeful as well. However, not all Islamic art had a specific religious purpose, unique to the Islamic faith. One of the most distinguishing features of Islamic art is the absence of an image of religious context. Idolatry is considered a grave sin. It is believed that any form of human worship is profane to the idea of Allah as the only God. This clearly distinguishes Islamic art from Christian and/or other religious arts. In architecture, painting, and carpet-weaving, Muslims limit their portrayals of humans or animals. To Muslims, decoration meant use of calligraphy, flowers and leaves. This research paper will strive to identify the influences and brilliance of different Muslim art and architectural in Spain, and its impact on non-Muslim Spanish people. The paper also looks at the various centers of art in Spain. 3.0 Islamic Art and Architecture With the use of colors and balance between design and form, Islamic art creates a visual impact. Such is its artistic appeal that it transcends distance in time and space, as well as differences in language, culture, and creed. Islamic art not only invites a closer look but also beckons the viewer to learn more. Spain, along with other European countries like France, Germany, and Austria became targets for Muslim expansionism. The army brought with them their cultural and spiritual ideology. Their most important building was the mosque, followed by the royal palace. Early mosques were square in shape. Gradually with expansion in size and strength, this requirement led to larger and more elaborate prayer halls. In the late 8th century, Spain saw the construction of the Mosque of Cordoba, with a courtyard in the centre, roofed arcades, and minarets; towers that extend vertically. This mosque had a spacious hall to accommodate more worshippers, a definite move to encourage more and more worshippers and spread Islam. They were built solid to withstand external influences, a contrast to their palaces, which were built from unbaked bricks and/or plaster. The Sociological Reactions to the Return of Vietnam Veterans Essay The Sociological Reactions to the Return of Vietnam Veterans Upon their return from the Vietnam War, many veterans were shocked upon the reaction (or lack thereof) displayed by the citizens of the States who had remained on the home front. When finally landing back on American soil, many veterans expected to be greeted with celebration and maybe even a parade, acknowledging their service and dedication to the Vietnam cause. However, veterans were instead greeted by protestors who did not agree with the United States’ participation in the war (ironically, not all veterans wholly supported the cause itself, but instead went out of respect and devotion to their country). In an article written by Vietnam veteran Bill Hunt, it is clear to see that not only were strangers hostile towards veterans, but even friends and family treated the returning soldiers with annoyance, anger, or at the best, apathy. He states that it felt like family members had not even known he was at war; they reacted to his return much like one would react to someone returning from the grocery store: with just a casual hello, disregarding the danger and the high level of devotion that had been experienced. Hunt’s family barely acknowledged that he had ever even gone to war. The experiences of Vietnam vets were simply viewed as a part of every-day life. The war was not even taken seriously by many people, and veterans (specifically Hunt) were appalled by the flippant and insensitive (though innocent and thoughtless) comments made by others, family included. To the vets, it had been a hellish experience, and many experienced Post-Traumatic Stress Disorder, depression, and many became dependent on drugs and alcohol to get through the psychological after-effects of being involved in such stressful and torturous circumstances. However, appallingly, many were unable to get the help they needed. Medical aid was not made available to them right away, and a shocking percentage of Americans viewed them as crazy and dangerous to society. Some even thought that the veterans deserved their psychological conditions. Suicide became increasingly common as many veterans experienced completely unfounded hatred and degradation. Part of this is due to the younger generation, which had begun the hippie movement. The ideas of â€Å"peace† and â€Å"love† were emphasized. Because of this, many returning veterans were greeted with shouts of â€Å"baby killer† and other completely untrue and offensive things. They were also given stereotypes of overarching drug use. Additionally, television was available to households for the first time. Because of this, there was no watering-down or censorship of the conditions of the Vietnam War. Many veterans were portrayed incorrectly and much confusion was experienced by the public due to mixed messages. Regardless of the cause, the fact remains that the Vietnam veterans are one of the most unjustly maligned groups of people in American history. The war was politically unpopular and many veterans were accused of a lack of dedication and â€Å"not fighting hard enough†. The disrespect that had been shown towards these veterans was and still is disgusting: regardless of whether or not one agrees with the cause, it is inexcusable that these veterans were not commended for their sacrifice. Impact of Speech, Language and Communication Difficulties Language is the vehicle for most learning, so when a child has speech, language and communication difficulties it can affect the development of the child’s cognitive, social and emotional wellbeing. The level of development problems will vary depending on the severity of the problems and the support that the child receives. All children can benefit from some support in speech, language and communications because of how important it is for learning. We need all three elements of speech, language and communication to get our message across, without any of these, what a child says and understands may become confused. Here are some areas that may be affected. Personal, social and emotional development. Some may find it difficult to follow the rules of communication and interact socially with others. Because they may find it hard to express themselves and get their views and needs across to others they can often find themselves avoiding social interaction situations. This can then make them feel they lack confidence and have a low self-esteem. Decision making will become difficult and they may start to rely on others to make decisions for them. Friendships. Friendships are very important for children. Children with speech, language and communications difficulties can find making and maintaining friendships a real challenge. The ability to understand and negotiate disagreements, socialise with peers and be part of a friendship group is an important development in life. This can become even more difficult as the child progresses through primary school as the need increases for them to become more aware of the feelings, thoughts and motives of others. Behaviour. Children with these difficulties can often become frustrated, this can result in them demonstrating behaviour difficulties. These can range from occasional bouts of unpredictable behaviour to more specific patterns of misbehaviour. Sometimes because of this poor behaviour, which is often seen as the bigger issue, the language difficulties can be missed. Play. Play is a vital part of a child’s development, by playing they can learn from their peers. When a child struggles with speech, language and communication, this can have an effect on their ability to play with others. They may not have the confidence to mix with others and participate in games as they can struggle to understand the rules or to make themselves be understood when explaining what they want to play. Literacy. Spoken language is important for the development of reading and writing. Children with speech and language problems will often go on to also have reading and writing difficulties. It is important to speak to the child, but the level of language should be based on the level of understanding by the child. Use keywords, known vocabulary and have a consistent routine. PECS(Picture Exchange Communication System) can help those that have communication difficulties to initiate communication, although this is a very structural approach and best implemented by someone who is trained in it. When giving children with language and communication difficulties instructions or explaining to them about an activity, it is important that you make sure the child has fully understood what has been said to them. Asking the child to repeat what you have asked them or get them to explain the activity to you will help you decide if they have a good understanding of what is asked of them. You can help by shortening your sentences and use more simple words that are age and development related. Signing with a child can be helpful in many ways, it gains their attention and can improve eye contact, expressive speech can develop. Signing is known to stimulate the some area of the brain as speech, make sure you sign slowly and only sign keywords. It is important to speak naturally with the signs. Do not overload the child with too many signs and only teach the signs that are useful to the child that you are working with. Just by learning a few key signs such as drink and toilet can enhance s ome children’s lives enormously. English as an addition Language. Because there are more and more children entering the childcare settings who speak English as an additional language, practitioners may have to give extra support to these children to help them develop their skills in English. Practitioners should value this linguistic diversity and provide opportunities for these children to use and develop their home language in their play and learning. Home language skills are transferable to new languages and can strengthen the child’s understanding of language use. As some of the child’s family may not speak any English, it is important to understand that the child will still need to speak their home language for communications in the home. Home languages are vital for maintaining positive family connections. Practitioners have a key role in reassuring parents that by maintaining and developing their home language will benefit their children with their developing skills in English. English will need to be learnt in a context, throu gh practical meaningful experiences and interactions with others. These children may spend a long time listening before they speak and go through a silent phase. This is not usually a cause for concern as they are still learning. They will often be able to understand much of what they hear, especially where communication through gesture, facial expression and visual support is encouraged. Understanding is always in advance in spoken language and it is important that children do not feel pressured into speaking until they feel confident to do so, but it is essential that adults continue to talk to the children with the expectation that they will respond. Learning opportunities should be planned to help children develop their English. Build on the child’s experiences of language at home, so that their developing use of English and other languages support one another. Within a setting, visual aids can be used to help the child to understand the daily routine and to make choices and decisions. A visual timetable is a popular strategy used to give children structure for the day and reduce anxiety. A visual timetable is a sequence of symbols or pictures that is displayed in order to demonstrate the activities planned for the session. Children can become involved in the visual timetable by removing the symbols when that activity is complete. Symbols or pictures can also be used to support children in decision making. For example, a practitioner could have symbols for different types of fruit and encourage a child to choose a picture to represent what they would like for their snack. This strategy can be applied to other areas of the childs day, such as choosing activities. Check Childrens Knowledge and Understanding When giving children instructions or explaining an activity, it is important to clarify their knowledge and understanding of the task. By encouraging children to repeat the instructions or by asking them to explain what they are expected to do, you will be able to ensure that they have understood what you have asked them to do. Simplify your Language Shortening your sentences and simplifying your language can help children to process language and understand what has been said to them. Think about the words you use with children and ensure that they are not too complex for their age and stage of development. For example, you could replace the word construct with the word build. Guided Activity Think about some of the vocabulary you use with children. For each word or phrase, identify a simplified version you could use with children with communication difficulties. Praise Childrens Efforts Giving children praise is an important method to promote the use of communication. Praising a child for participating in an activity or for what they have done well will help to build a childs self-esteem and confidence and may further encourage their participation. A Comparison of Hamlet and One Flew Over the Cuckoo's Nest A Comparison of the Character Hamlet, of Shakespeare's Hamlet, and McMurphy of One Flew Over the Cuckoo's Nest It is suggested that in modern literature, the true element of tragedy is not captured because the protagonist is often of the same social status as the audience, and therefor, his downfall is not tragic. This opinion, I find, takes little consideration of the times in which we live. Indeed, most modern plays and literature are not about monarchs and the main character is often equal to the common person; this, however, does not mean the plot is any less miserable nor the outcome any less wretched. The first work I have chosen proves this fact. One Flew Over the Cuckoo's Nest, a first novel by Ken Kesey published in 1962, is a contemporary tragedy describing the downfall of a rigidly administered ward in a mental institution led by the rebellion of a new admission. The work I have chosen to compare this novel to is the classic play by William Shakespeare, Hamlet. There is an intimate relationship between these to works beyond that they are both tragedies; the protagonist in each lacks conventional hero qualities. Both Hamlet and R.P. McMurphy in One Flew Over the Cuckoo's Nest, can be defined as anti-heroes making these two pieces comparable for study. To examine the aspect of anti-heroes in tragedy, and how this relates to the characters of R.P.McMurphy and Hamlet, an analysis of the motivation of each is necessary. Motivation is the source of all action, and only in this area these two characters similar to a traditional protagonist. As the character himself evolves through the course of the plot, so do their motives. Hamlet and McMurphy begin at different points with different purposes, but soon meet with a common incentive. For Hamlet, this initial impulse is derived from his embitterment towards his mother for remarrying so soon after his father's death and for selecting her late husband's brother Claudius, as her second partner. In a witty statement to his closest friend Horatio, he expresses his indignation; "The funeral baked meats/ Did coldly furnish forth the marriage tables." Entirely unrelated, is McMurphy's need to be "top man".

Medea and Hedda Gabler Essay -- Theatre

The materialistic wants of people often lead them to act in imprudent ways. This is especially true in the cases of Jason and George Tesman, main characters from the plays of Medea and Hedda Gabler, who display the folly of blindly adhering to aesthetic standards. (In this essay, an aesthetic standard is the placement of value on worldly goods and sensationalistic feeling). Acting on such a standard creates a tunnel vision that limits one’s thoughts and prevents one from seeing anything other than that which is directly beneficial. This tunnel vision inhibits Jason and George Tesman from perceiving reality as it is and holds them captive to their own specious view of events. Furthermore, it negatively affects their lives as well as those of others. As seen through the characters of Jason and George Tesman, aesthetic standards can lock one’s mind into a box with no key. The play Medea opens with the revelation that Jason, a Greek explorer, has left his wife Medea for another woman. This infidelity is the primary example of Jason’s distorted principles and symbolizes the strong influence aesthetic standards have over his life. One needs only to read Jason’s debate with Medea to understand Jason’s blindness. While on his quest for the golden fleece, an event that occurred prior to the play, Jason sought Medea’s help to vanquish obstacles that impeded his wanted goal. When Medea mentions this incident during their dispute, Jason replies: â€Å"My view is that Cyprus was alone responsible of men and gods for preserving my life. You are clever enough-†¦but on this question of saving me, I can prove you have certainly got more from me than you gave† (Euripides 17). Jason is so overcome by his own emotions that he stoically believes a lie to ... ...esman’s failure to recognize Hedda’s devilish character, there is not even a manuscript acknowledging the life of Eilert Lovborg. This can all be attributed to the fact that George was subject to whimsical emotional desires. The blinding power of aesthetic standards is a defining, if not clearly visible, theme in both the plays of Medea and Hedda Gabler. Both the authors, Euripides and Ibsen, bring the subject to a new light through the characters of Jason and George Tesman. Although the plays were written for people of a certain era, their message is timeless. Cephalus says that this is not true, wealth can help someone be virtuous, but it isn't the deciding factor. Cephalus defines just behavior as paying one's debts and speaking truthfully, and notes that wealth does help in these things. Socrates questions Cephalus' definition of just behavior, but before they can discuss it Cephalus leaves, leaving his argument to Polemarchus. Polemarchus defends his father's definition, saying that justice is giving each what is owed to him--treating friends well, and enemies badly. Socrates finds numerous problems with this definition. First is that, since people are sometimes mistaken about who their friends are, it appears to endorse treating bad people well and vice versa. Second is that, since injustice breeds injustice, it says that it is the job of the just person to create injustice. Just as Polemarchus agrees that his initial definition is incorrect, Thrasymachus, another guest at the house, roars into the conversation; he announces, with some pomp, that "justice is nothing other than the advantage of the stronger." In all cities, the rulers enact laws that are in their own best interests, and these laws are declared just, and so clearly justice is always at the service of the powerful.
